These Terms of Service (“Terms”) govern your access to and use of our website (https://okcaiseo.com and any associated pages) and our SEO, AI-powered marketing, digital strategy, consulting, and related services (collectively, the “Services”).By accessing our website or engaging our Services, you agree to be bound by these Terms. Our Services

OKC AI SEO provides search engine optimization (SEO), AI-enhanced content creation, technical audits, link building, local SEO, paid advertising management, and other digital marketing services. All Services are governed by a separate proposal, agreement, or statement of work (“Service Agreement”) that outlines scope, deliverables, timelines, and pricing.

Eligibility

You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

User Accounts and Communications

Certain features may require you to create an account or provide contact information. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials.

Client Responsibilities

When you engage our Services, you agree to:

• Provide timely access to your website, analytics accounts (Google Analytics, Search Console, etc.), hosting, and any other necessary platforms.
• Supply accurate content, branding materials, and business information.
• Make timely decisions and approvals as required.
• Comply with all applicable laws, including advertising and data protection regulations.

Failure to meet these responsibilities may result in delays or additional fees.

SEO and Marketing Results

Important Disclaimer:
SEO and digital marketing results are not guaranteed. While we use proven strategies and AI tools to improve your search visibility, rankings, and traffic, search engines (Google, Bing, etc.) frequently update their algorithms and no company can guarantee specific rankings, traffic levels, or business outcomes. Results vary based on competition, industry, website history, and many external factors. We will work diligently to meet the goals outlined in your Service Agreement, but past performance is not indicative of future results.

Payments and Billing

• All fees are outlined in your Service Agreement or proposal.
• Payments are typically due monthly, upfront, or on a milestone basis as specified.
• Late payments may incur fees and may result in suspension of Services.
• We reserve the right to require a deposit or retain a percentage of fees upon project completion.
• All payments are non-refundable except as expressly stated in your Service Agreement.

Intellectual Property

• Our Work: All custom deliverables (reports, strategies, content, code, etc.) are licensed to you for your use upon full payment. We retain ownership of our proprietary tools, methodologies, AI prompts, templates, and pre-existing materials.
• Your Content: You grant us a limited license to use your logos, content, and materials solely as necessary to provide the Services.
• You may not copy, modify, or reuse our proprietary strategies, training materials, or tools without written permission.

Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the engagement. This obligation survives termination of the Services.

Third-Party Services and Platforms

We may recommend or use third-party tools, plugins, platforms, or services (Google, SEMrush, AI platforms, hosting providers, etc.). We are not responsible for their terms, pricing changes, outages, or data policies.

Warranties and Disclaimers

THE SERVICES AND WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THEY WILL ACHIEVE ANY SPECIFIC BUSINESS RESULTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OKC AI SEO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, LOSS OF BUSINESS, OR LOSS OF GOODWILL). OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold OKC AI SEO, its owners, employees, and contractors harmless from any claims, damages, losses, and expenses (including reasonable attorney fees) arising from:

• Your breach of these Terms
• Your website content or business practices
• Violation of any third-party rights

Termination

Either party may terminate Services as provided in the Service Agreement. We may suspend or terminate access to the website or Services immediately for breach of these Terms.

Governing Law

These Terms shall be governed by the laws of the State of Oklahoma, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts located in Oklahoma County, Oklahoma.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on our website and updating the effective date. Your continued use of the Services constitutes acceptance of the revised Terms.

Miscellaneous

These Terms, together with any Service Agreement, constitute the entire agreement between you and OKC AI SEO. If any provision is found invalid, the remaining provisions remain in full force.
